These terms apply to your use of techradian.com and to quotes, proposals and projects from TECHRADIAN TECHNOLOGIES ("TechRadian", "we", "us"). A signed project agreement or statement of work takes priority over these terms if the two differ.
01 Using this website
You may use the website for lawful purposes only. Content on the site is provided for general information and is not a binding offer. You must not misuse the site, attempt to disrupt it, or submit false or automated enquiries.
02 Quotes and scope
A quote becomes binding only when both parties have agreed in writing a scope, a deliverables checklist, a timeline and a price. Quotes are valid for 30 days unless stated otherwise. Work outside the agreed scope is quoted separately and added to the checklist before it begins.
03 Escrow payment
Project payments are made into an escrow wallet before work begins, either in full or by milestone. Funds are released to TechRadian when you confirm that the deliverables on the agreed checklist have been provided and approved. If a deliverable is not provided, the undelivered portion is handled as set out in the project agreement, which may include a refund from the wallet.
Escrow fees, where applicable, are stated in the quote. Quotes may be in USD, AED or another agreed currency.
04 Your responsibilities
To deliver on time we need timely access, content, decisions and feedback from you. Delays caused by missing input may move the timeline. You confirm that any material you provide is yours to use and does not infringe third-party rights.
05 Ownership of the work
Once the final payment has been released, you own the deliverables created specifically for you, including the source code, under the project agreement. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual licence to use them as part of the delivered product. Open-source components stay under their own licences. We may describe the project in our portfolio unless you ask us not to.
06 Warranty and support
We include a 30-day period after handover in which we fix defects against the agreed checklist at no charge. After that, support and maintenance are available under a separate plan. We do not guarantee uninterrupted or error-free operation of software, or specific business results.
07 Limitation of liability
To the extent the law allows, our total liability under a project is limited to the amount you paid for that project, and we are not liable for indirect or consequential loss, lost profit, or loss of data. Nothing in these terms limits liability that cannot be limited by law.
08 Confidentiality
We keep your non-public business and technical information confidential and use it only to deliver the project. We ask the same of you regarding our non-public pricing and methods.
09 Our own products
Products shown in our portfolio, such as Invoex, Kornio and Nexode, are governed by their own terms on their own websites. The Nexode store at shop.techradian.com is a demonstration: orders cannot be placed and addresses shown there are for display only.
10 Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. The courts of Sharjah have jurisdiction, unless the project agreement states otherwise.
11 Changes
We may update these terms. The version published on the site at the time of your quote applies to that quote.
